Prices shown in the pricelists, catalog and web site are subject to changes without notice. Prices given in Euros and $ US are subject to currency exchange variations and are therefore not contractual. All our prices are in $ CAN. Prices in quotes are fixed for 30 days (unless specified).
The payment terms are mentionned on the invoice. The client agrees to respect these conditions when ordering. Some custom made products and special orders need a deposit upon order. This deposit will not be refunded if the client cancels his order. However, if the supplier cancels the order, the client will be fully refunded.
The line of credit is evaluated on yearly buying and experience basis for each customer. Every past due account will be charged at 1.5% monthly interest. This credit is reevaluated periodically and can be modified without any prior notice.
All returns must be accompanied by a return number assigned by FROMAGEX. Merchandises are returned by the client at his own expense and will be credited (no refunds) after inspection. Fromagex has the right to refuse the return of some merchandises. Merchandises that are broken, dirty, or with some pieces missing will be returned to the client at his expense. A fee can be required, therefore not credited, for the return of some merchandises.
No return are allowed on the following merchandise (unless defect of workmanship) :
The buyer is exclusively responsible for shipping and handling fees (FOB Rimouski). When a carrier takes possession of the products, the responsability for the merchandise is transfered to the buyer. The buyer is also responsible for any damage, breaking and/or loss that could occur after a carrier takes possession of the merchandise. The purchaser is responsible for insuring transportation and dealing with those insurances if needed. FROMAGEX indicates the equipment's weight for information only. Any exceptionnal handling, by an external and/or specialized firm for loading and/or unloading of equipment planned in the contract will be charged to the buyer. For certain orders, packaging fees may be added.
Quotations are valid for a thirty-day period (unless exception) from the date indicated at the top of the document. The buyer's approval of a quote will only be effective after FROMAGEX has received the amount of deposit required. Following the signature of the quote, and the payment of the requested deposit, the buyer is commited to the terms of the agreement, to accept the equipments that were ordered, and to pay according to the terms provided in the quote or contract. The delivery periods are calculated following the reception of the deposit, they are given for information only and are not granted by contract.
The seller has the right to make changes and/or modifications without any notice, to the design of the pieces of equipments provided in the contract unless there is a written indication in the contract. Unless otherwise stipulated on the contract, the responsibility of conformity of the equipments applicable to laws, codes and rules is the responsibility of the buyer, including the conformity of the electric connections.
The equipments are the propriety of the seller until the total payment of the invoice. In the eventuality that the buyer cancels and/or terminates the order either verbaly or written and that the seller agrees to this cancellation and/or termination, the buyer agrees to pay 40% of the contract to compensate the seller. The prices never include shipping, installation, neither start-up costs.
The delivery delays mentionned on the quotes are given as information only. The dates do not bind the buyer to the seller on a legal basis, and on the consequences encountered by the buyer. Both parties will agree upon approval of a quote by the buyer on a delivery date and address.
The seller guarantees all the new equipments manufactured by FROMAGEX, or sold under its trademark, against all defects in material or labor for a period of one year after it has been shipped from its warehouse. The seller agrees to replace, free of charge, any defective parts, subject to inspection. All shipping fees are the responsibility of the buyer. FROMAGEX honors any manufacturers guarantee for added parts on these equipments at their conditions. Furthermore, no claims, repairs, and/or substitution will be accepted if the product(s) and/or parts of the product(s) have been altered, modified and/or misused. The seller will not be held responsible for labor and/or any other expenses related to the dismantling and/or substitute of the defective piece(s), and also for any loss in production, loss of product or monetary loss of any nature, due to any damage or breaking. The buyer renounces to any damage appeal regarding this situation. This guarantee is the only guarantee, all other guarantees being null and void.
By buying from the seller, the buyer agrees without any regards to all the terms and conditions listed above. This contract entirely includes the agreement between the parties and invalidates any other previous agreement. Any changes made to the following will be null and void unless they intervene by a written document signed by a representative authorized by all parties.The buyers representative personally guarantees that she or he is duly authorized to bind the buyer to the terms of the contract. The buyer agrees that the seller will remain the sole owner of the equipments until total payment. The terms and obligations of the following are an intregral part of the contract agreed upon between parties, which is governed by the laws in force in the province of Québec. In case of litigation the parties will established domicile in the judiciary district of Rimouski, Québec, Canada.
